Terms and Conditions

Welcome to Kerbside Health, Inc. ("Kerbside Health," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our websites, health library, provider directory, and provider-facing workflow automation services, including digital agents that help healthcare organizations handle administrative workflows such as prior authorization (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

Important: Kerbside Health does not provide medical care to patients. We are not a clinic and do not offer medical diagnosis or treatment.


1. Nature of the Services (No Medical Care)

1.1 The health library, calculators, and directory are provided for informational purposes only and are not medical advice.

1.2 Calculators and tools may provide general educational information based on user-selected inputs, but they do not provide a diagnosis, recommend a specific treatment, or replace professional judgment.

1.3 Provider workflow automation services support administrative workflows for healthcare organizations. They do not make independent clinical decisions, determine medical necessity, prescribe, diagnose, treat, or replace the judgment of licensed clinicians or other qualified practice personnel.

1.4 Always seek advice from a qualified clinician. If you think you may have a medical emergency, call 911 or seek immediate care.


2. Eligibility & Accounts

2.1 Provider-facing services are intended for healthcare organizations and their authorized personnel, representatives, and contractors.

2.2 You represent that you have authority to act for the organization you identify, to configure the Services for that organization, and to provide any systems, credentials, instructions, or data you submit to us.

2.3 We may require verification, including organization information, employment or role confirmation, and a professional or employer-associated email address, before enabling provider-facing Services.

2.4 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.


3. Directory & Public Content

3.1 Sources & Accuracy. Our directory compiles publicly available information, such as information from the NPPES NPI Registry and provider, practice, hospital, or institutional websites. Directory content may be incomplete or outdated. We do not guarantee accuracy.

3.2 No Endorsement. Inclusion in the directory does not imply endorsement, affiliation, or recommendation by Kerbside Health.

3.3 Corrections. Providers and authorized representatives may request corrections. We may accept, reject, or revert edits that we believe are inaccurate, misleading, unverifiable, or unlawful.

3.4 Images & Submitted Content. Profiles may display headshots or other imagery obtained from public sources or submitted by providers or practices. If you submit content, including photos, logos, or text, you grant Kerbside Health a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content in connection with the Services. You represent that you have all rights necessary to grant this license.

3.5 Prohibited Use. You may not use the directory to spam, harass, impersonate, scrape at scale, or misrepresent affiliation. Automated extraction, bulk scraping, or use of bots is prohibited without our prior written permission.


4. Provider Workflow Automation & Digital Agents

4.1 What they are. Provider workflow automation services help healthcare organizations manage administrative workflows such as prior authorization intake, benefit verification, chart review support, request preparation, payor submission, status tracking, and write-back to practice systems where supported and authorized.

4.2 Customer authorization. If you enable these Services, you authorize Kerbside Health to configure, provision, access, and operate digital-agent accounts, user identities, credentials, tokens, API connections, and other access methods in systems you approve. These systems may include EHRs, payor portals, clearinghouses, fax or intake tools, referral systems, and other workflow tools.

4.3 Your authority and instructions. You are responsible for confirming that Kerbside Health is permitted to access each system, that the access method complies with your contracts and internal policies, and that the instructions, rules, templates, and data you provide are accurate and lawful. We will use approved access only to provide, secure, and support the Services, and to improve the Services using information permitted by applicable agreements and law.

4.4 Human oversight. The Services may draft, prepare, route, submit, track, or record administrative work when configured to do so. Your organization remains responsible for clinical judgment, medical necessity, diagnosis and procedure coding, payor communications, final submission authority, patient communications, and compliance with laws and policies that apply to your organization.

4.5 Third-party systems. EHRs, payor portals, clearinghouses, and other third-party systems are not controlled by Kerbside Health. We do not guarantee their availability, functionality, response times, access terms, payor decisions, or integration support.

4.6 Protected Health Information. If the Services involve Protected Health Information for a covered entity or business associate, the parties will enter into a Business Associate Agreement or other required written arrangement before that use begins. If these Terms conflict with a signed Business Associate Agreement, order form, or service agreement, that signed agreement controls for the conflict. Do not send Protected Health Information to Kerbside Health outside an approved workflow or before any required written arrangement is in place.

4.7 Authenticated workflow areas. Logged-in provider-facing workflow areas are intended for customer-authorized administrative work. We do not use third-party advertising pixels, Google AdSense, or Google Analytics in authenticated workflow areas where Protected Health Information or customer workflow data may be present. We may use operational, security, audit, and performance logging needed to provide and protect the Services.


5. Fees, Billing, and Changes

5.1 Fees. Paid provider-facing Services may be offered through subscriptions, pilots, usage-based pricing, order forms, or other written agreements. You authorize us and our payment processors to charge applicable fees and taxes.

5.2 No refunds. All fees are non-refundable to the fullest extent permitted by law unless a signed agreement says otherwise.

5.3 Cancellation. You may cancel or terminate paid Services as described in your order form, account settings, or written agreement. Cancellation stops future renewals; access may continue until the end of the current billing period unless otherwise stated.

5.4 Price changes. We may change fees. If we increase recurring fees, we will provide at least 30 days advance notice, and increases will take effect no earlier than your next renewal following the notice period unless a longer period is required by law or by a signed agreement.


6. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or deceptive purposes.
  • Attempt to access non-public areas or other accounts.
  • Interfere with or disrupt the Services or security mechanisms.
  • Provide credentials, tokens, or system access that you are not authorized to provide.
  • Use the Services to submit false, misleading, fraudulent, or medically unsupported information.
  • Upload content that infringes intellectual property rights or violates privacy/publicity rights.
  • Collect information from the Services at scale via automated means without permission.

7. Intellectual Property

The Services and their underlying software, design, text, graphics, and other content are owned by Kerbside Health or its licensors and are protected by law. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.


8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that any directory information will be complete or current.

We do not guarantee any prior authorization outcome, payor response, reimbursement result, third-party system access, EHR or portal availability, or integration timeline.


9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KERBSIDE HEALTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PAID SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS.


10. Indemnification

You agree to indemnify and hold harmless Kerbside Health and its officers, directors, employees, and contractors from claims arising out of (a) your use of the Services, (b) your content, instructions, data, credentials, or system access, (c) your violation of these Terms or any third-party system terms, (d) your infringement of any rights of another, or (e) submissions, communications, or workflow actions made under your authority.


11. Arbitration & Class Action Waiver

Please read carefully. You and Kerbside Health agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except that either party may seek injunctive relief in court to stop unauthorized use or infringement of intellectual property or to address misuse of the Services.

No class actions. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Opt-out. You may opt out of arbitration by emailing [email protected] within 30 days of first accepting these Terms, with your name and the email associated with your account.


12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except as preempted by applicable federal law for arbitration.


13. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted. Your continued use of the Services after changes become effective constitutes acceptance.
